Terms of Service

1. Agreement and eligibility

These Terms of Service ("Terms") govern your use of the Pulsedew platform, including pulsedew.com, app.pulsedew.com, and related mobile applications (collectively, the "Service"), operated by PVUG Technologies LTD ("Pulsedew," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must:

• Be at least 18 years old
• Have authority to bind the business you represent
• Provide accurate registration information
• Comply with applicable laws, including GDPR and local gift card regulations

2. Service description

Pulsedew provides digital loyalty and gift card programs delivered through Apple Wallet and Google Wallet, including:

• Loyalty programs (stamps and points)
• Digital gift card issuance, sale, and redemption
• Wallet push notifications and promotional broadcasts
• Geolocation features (where supported by wallet platforms)
• Mobile and web scanning tools
• Analytics and customer management dashboards

Features vary by subscription plan. We may update, add, or remove features with reasonable notice where changes materially affect paid plans.

3. Account registration and security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity under your account
• Ensuring authorised staff use the Service appropriately
• Notifying us promptly of unauthorised access at team@pvug.tech

We may suspend accounts that violate these Terms or our Acceptable Use Policy.

4. Plans and access

Plans and pricing

Pulsedew is currently offered at no charge. All plans include unlimited customers and scans. We may introduce paid plans in the future with at least 30 days' notice to active users.

Gift card payments

Online gift card sales are processed by third-party payment providers. Industry-standard processing fees apply. Pulsedew does not add a fee on top of processor fees.

5. Merchant responsibilities

You agree to:

• Obtain valid consent from customers before enrolling them in your loyalty or gift card program
• Provide your own privacy notice explaining how you use customer data
• Comply with applicable consumer protection, gift card, and electronic communications laws in your jurisdiction
• Set appropriate gift card terms (expiry, restrictions) and communicate them to customers
• Use broadcasts and notifications responsibly — no spam, harassment, or unlawful content
• Ensure staff are trained on proper scanning and redemption procedures

You are solely responsible for the relationship with your customers and for honouring rewards and gift card balances.

6. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. Prohibited conduct includes spam broadcasts, fraudulent scans, unlawful gift card practices, and attempts to reverse-engineer or scrape the Service.

7. Gift card payments

When you enable online gift card sales:

• You authorise our payment partner to process transactions on your behalf
• You are responsible for applicable taxes, refunds, and chargebacks according to your policies and local law
• Pulsedew facilitates delivery to wallet passes but is not the merchant of record for your gift card sales unless explicitly agreed otherwise

8. Intellectual property

Our property

Pulsedew owns the Service, software, branding, and documentation. These Terms do not grant you ownership of our intellectual property.

Your property

You retain ownership of your business name, logo, and customer data. You grant Pulsedew a limited licence to use your branding solely to generate wallet passes and operate the Service on your behalf.

Feedback

If you provide suggestions or feedback, we may use them without obligation to you.

9. Data ownership and export

You own the customer data you collect through the Service. You may export your data at any time from the dashboard.

Upon termination:

• You have [X] days to export data before deletion
• We delete or anonymise data in accordance with our Privacy Policy, except where retention is required by law

10. Availability and support

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where practicable.

Support levels:

Response times are best-effort and not guaranteed unless covered by a separate service level agreement.

11. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind, express or implied
• Pulsedew is not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from these Terms or the Service is limited to the fees you paid to Pulsedew in the 12 months preceding the claim

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless Pulsedew from claims, damages, and expenses arising from:

• Your use of the Service
• Your customer relationships and reward/gift card obligations
• Your violation of these Terms or applicable law
• Content you send via broadcasts or notifications

13. Termination

Either party may terminate:

• You — cancel your subscription at any time from the dashboard
• We — suspend or terminate for material breach, non-payment, or violation of the Acceptable Use Policy, with notice where reasonable

Upon termination, your right to use the Service ends. Sections that by nature should survive (liability, indemnification, governing law) remain in effect.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Kampala, Uganda, except where mandatory consumer protection laws provide otherwise.
